Fixgeschäft is the German frame the clause is reaching for, timely performance made essential with an immediate exit attached, § 323 Abs. 2 Nr. 2 BGB, § 376 HGB between merchants. The word-for-word rendering, die Zeit ist von wesentlicher Bedeutung, is a proverb, not a clause.

Which translation, when

Why

The English formula does doctrinal work, it makes the time stipulation a condition, so a missed date entitles the innocent party to terminate at once, no grace, no warning. German law reaches the same effect through the Fixgeschäft, and the translation has to build it, not gesture at it. The relative Fixgeschäft lives in § 323 Abs. 2 Nr. 2 BGB, timely performance essential to the creditor, the missed date opening Rücktritt without the usual Fristsetzung, and between merchants § 376 HGB sharpens everything, immediate withdrawal is the default, insisting on performance requires telling the other side at once, and damages can be computed abstractly against the market. The literal rendering, die Zeit ist von wesentlicher Bedeutung, creates none of this, it is a sentence about the importance of punctuality, and a German court reading it must reconstruct from the rest of the contract whether the parties meant a Fixgeschäft or merely meant to sound firm. Typical mistakes

  • Die Zeit ist von wesentlicher Bedeutung floats free of the BGB, no norm attaches to the sentence, the operative German ties the date to the exit, § 323 Abs. 2 Nr. 2 BGB, or names the Fixgeschäft outright.
